Acceptance of Terms

By accessing or using the sensavera website and the sensagram platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use the Service.

Description of Service

sensavera provides an AI-moderated voice conversation platform ("sensagram") that enables health plans and other organizations ("Customers") to gather qualitative member insights at scale. The Service includes:

• AI-moderated voice conversations with health plan members
• Transcription and analysis of voice recordings
• Theme analysis, insight synthesis, and reporting dashboards
• Exportable reports for leadership and operational use

Accounts and Security

To use the sensagram platform, Customers must create an account. You are responsible for:

• Providing accurate and complete account information
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized access

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service for any purpose other than authorized member research and insight gathering
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers connected to it
• Use the Service to collect, store, or process data in violation of applicable laws or regulations
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without written permission

Intellectual Property

The Service, including its software, design, text, and graphics, is owned by sensavera and protected by intellectual property laws. Nothing in these Terms grants you ownership of the Service or any intellectual property rights beyond the limited license to use the Service as described here.

sensavera, sensagram, and associated logos are trademarks of sensavera. You may not use them without our prior written permission.

Customer Data and Ownership

Customers retain ownership of all data collected through their use of the Service, including member voice recordings, transcriptions, and derived insights ("Customer Data").

By using the Service, Customers grant sensavera a limited license to process Customer Data solely for the purpose of providing and improving the Service. We will not use Customer Data for any other purpose without your consent.

Customers are responsible for:

• Obtaining appropriate consent from members to participate in sensagram conversations
• Ensuring their use of Customer Data complies with applicable laws and regulations
• The accuracy and lawfulness of any data they provide to us

Service Availability

We strive to maintain high availability of the Service, but do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or reasons beyond our control.

We reserve the right to modify, update, or discontinue features of the Service. For material changes, we will provide reasonable advance notice to active Customers.

Fees and Payment

Access to the sensagram platform is provided under the terms of a separate service agreement between sensavera and the Customer. Pricing, payment terms, and billing details are specified in that agreement.

Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate the relationship as specified in the applicable service agreement.

Upon termination:

• Your access to the Service will be revoked
• We will provide a reasonable period for you to export your Customer Data
• After the export period, we will delete Customer Data in accordance with our data retention policy
• Provisions that by their nature should survive (such as intellectual property, limitation of liability, and indemnification) will survive termination

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

sensavera does not warrant that the Service will be uninterrupted, secure, or error-free, or that insights generated by the Service will be complete or accurate for any particular purpose. AI-generated analyses are intended to supplement, not replace, human judgment.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENSAVERA'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO SENSAVERA DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT WILL SENSAVERA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY.

Indemnification

Customers agree to indemnify and hold harmless sensavera from any claims, damages, or expenses arising from: (a) their use of the Service; (b) their violation of these Terms; (c) their failure to obtain required member consents; or (d) any third-party claims related to Customer Data.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

Miscellaneous

• Entire agreement — These Terms, together with any applicable service agreement, constitute the entire agreement between you and sensavera regarding the Service.
• Severability — If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• No waiver — Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment — You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
• Force majeure — Neither party will be liable for delays or failures caused by events beyond their reasonable control.
